BOOKING TERMS AND CONDITIONS

These Booking Terms and Conditions (the “Terms”) govern all reservations, bookings, and agreements made with the specific hotel at which you have made your reservation (the “Hotel,” “we,” “us,” or “our”). For greater certainty, the Hotel is the sole contracting party in respect of your reservation and stay. These Terms apply to any guest, client, contracting party, tour operator, travel agent, event planner or organizer, corporate entity, third party booking platform, intermediary or any other person or entity that makes, facilitates, or pays for a reservation on behalf of a guest (the “Guest”, “you,” or “your”) in relation to accommodation and any other services and/or products provided by the Hotel including, without limitation, dining and beverage services, events and conferences, spa, pool, recreational activities, excursions, vehicular services and transportation arrangements, and the use of rooms, venues, amenities, and other facilities or services offered by the Hotel (collectively, the “Services”).

By making, facilitating, paying for, or accepting a reservation, entering into a contract, or using any Services, you agree to be legally bound by these Terms. Any person or entity making or facilitating a reservation on behalf of another represents and warrants that it has full authority to bind the Guest and all occupants to these Terms and agrees to be jointly and severally liable for any obligations arising under them.

1. Reservations and Booking Confirmation

1.1 Reservation Confirmation. All reservations are subject to availability and are only confirmed upon receipt of written confirmation from the Hotel (including email confirmation).

1.2 Right to Refuse or Amend. The Hotel reserves the right to refuse, cancel, or amend any reservation at its discretion, including in cases of pricing errors, technical issues, or suspected fraudulent activity.

1.3 Accuracy of Information. Guests are responsible for providing accurate personal and payment details at the time of booking.

1.4 Groups, Weddings, and Other Events. For group reservations, weddings, or other events (“Group Bookings”), Guests must contact the Hotel to confirm availability prior to making any travel arrangements. As the Hotel operates in accordance with local laws and regulations, certain services requested may not be available, may be limited or subject to change. The Hotel shall not be responsible for any costs or expenses incurred by Guests who make travel or other arrangements without obtaining prior written confirmation from the Hotel. Group Bookings may be subject to additional terms and conditions as set out in the applicable group contract. In the event of any inconsistency between these Terms and the group contract, the terms of the group contract shall prevail.

2. Rates, Charges, and Taxes

2.1 Rate Availability. All room rates and promotional offers are subject to availability at the time of booking and may change without prior notice. The applicable rate shall be the rate confirmed at the time of reservation.

2.2 Currency and Taxes. All rates are quoted in the currency you select on the website and are subject to applicable taxes and fees. The Hotel is not responsible for exchange rate fluctuations when processing payments.

2.3 Additional Services. If additional Services are requested or provided after a booking is confirmed, the Guest agrees to pay the Hotel’s published or generally applicable rates in effect at the time the Services are contracted for or provided unless otherwise agreed in writing.

2.4 Mandatory Local Charges. Certain destinations may require Guests to pay mandatory local charges directly at check-in, including but not limited to environmental fees or other government-mandated charges. These fees are not included in the booking rate unless explicitly stated.

3. Payment Terms

3.1 Prepayment Reservations: For prepayment reservations, full payment is due at the time of booking and must be made by credit card.

3.2 Deposit Reservations: For reservations requiring a deposit, you must provide a valid credit card to guarantee the reservation. The Hotel will charge the full amount of your booking to your credit card two (2) days before your scheduled arrival date.

3.3 Credit Card Requirement. The same credit card used for the booking must be presented at check-in, and the cardholder must be present with valid identification.

3.4 Group Reservations. Full payment of the booking must be received prior to the scheduled arrival for group reservations (defined as ten (10) or more guest rooms and/or associated Services), in accordance with your groups contract.

3.5 Settlement of Charges. All outstanding charges, including any new charges incurred during your stay, must be settled prior to departure.

3.6 Authorization to Charge. You consent and authorize the Hotel and its payment processing service provider to store your name, card expiry date and PAN number (collectively, the “Credentials on File”) and to initiate transactions on your behalf and/or process transactions initiated by you by using the Credentials on File.

4. Modifications and Cancellations

4.1 Reservation Modifications.

• No modifications are permitted within 48 hours of scheduled arrival.

• All modification requests must be submitted in writing and are subject to availability and applicable rate conditions. Changes may result in rate adjustments or additional charges as determined by the Hotel.

4.2 Cancellation Policy. All cancellations are subject to the cancellation policy outlined in your booking confirmation and are included as part of these Terms.

5. Check-In, Check-Out, and Use of Rooms and Facilities

5.1 Check-In Time. Standard check-in time is after 3:00 p.m. Valid government-issued identification is required upon check-in.

5.2 Standard Check-Out Time. Standard check-out time is before 12:00 p.m. local time. All room key bracelets must be returned upon check-out. Failure to return them will result in a fee charged to the Guest as determined by the Hotel.

5.3 Late Check-Out. Requests for late check-out are subject to availability and will incur a fee as determined by the Hotel.

5.4 Failure to Vacate. If a Guest fails to vacate the room at check-out time, the Hotel reserves the right to remove the Guest’s belongings without liability.

5.5 Use of Rooms and Facilities. Rooms, event spaces, amenities, and all other Hotel facilities may be used only for their intended purpose and in accordance with these Terms, applicable law, and all Hotel Policies and instructions. Any alternative, commercial, unlawful, hazardous, or disruptive use (including, but not limited to, filming, outside vendors, or unauthorized events) is strictly prohibited.

6. Occupancy and Guest Conduct

6.1 Maximum Occupancy. Room occupancy must not exceed the maximum number specified at the time of booking.

6.2 Guest Responsibility and Conduct Standards. The Guest is responsible for their own conduct and that of all occupants, attendees, and invitees, and must ensure compliance with all Hotel policies (including, but not limited to, the Guest Conduct Policy incorporated herein, regulations and reasonable instructions or directions from the Hotel (collectively “Hotel Policies”). All Guests must behave in a respectful and lawful manner at all times. The Hotel reserves the right, at its sole discretion, to remove any Guest or associated person who violates Hotel Policies or engages in unlawful, disruptive, or inappropriate behavior, pr poses a safety risk, without refund or liability.

6.3 Damage. Guests are liable for any loss, damage, or excessive cleaning caused by themselves, their occupants, or invitees, including damage to the Hotel’s property or facilities and their failure to comply with these Terms and/or Hotel Policies. The Hotel may charge the Guest for repairs, replacement, additional cleaning or any related costs.

6.4 Visitors. Off-property visitors are not permitted unless approved. Visitors may access the Resort by purchasing a day or night pass at current rates.

6.5 Indemnity. Guests agree to indemnify, defend, and hold harmless the Hotel, its parent, affiliates, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from or related to the Guest’s or their invitees’ acts, omissions or breaches of these Terms.

7. Limitation of Liability

7.1 Independent Suppliers and Guests. The Hotel provides certain services through independent suppliers who accommodate Guests and other persons on the Hotel’s premises. The Hotel shall not be and is not responsible or liable for the acts, omissions, or defaults of such suppliers, Guests or other persons. The Hotel may, at its discretion, offer reasonable assistance to help resolve any issues that arise by, between and among the Hotel and its employees and any suppliers, Guests or other persons.

7.2 Limitation of Liability. THE HOTEL IS NOT LIABLE FOR LOSS, THEFT OR DAMAGE TO PERSONAL BELONGINGS OF ANY GUESTS, SUPPLIERS OR OTHER PERSONS. ANY SUCH LIABILITY, IF APPLICABLE, SHALL BE LIMITED TO A MAXIMUM OF USD $100, EXCEPT TO THE EXTENT OTHERWISE REQUIRED BY APPLICABLE LOCAL LAW. FOR ALL OTHER CLAIMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY AND ANY OTHER INJURIES, WHETHER PHYSICAL OR ECONOMICAL, THE HOTEL’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE GUEST FOR THE SPECIFIC SERVICES OR PRODUCT THAT IS THE SUBJECT OF THE CLAIM. IN NO EVENT SHALL DAMAGES EXCEED THE AMOUNT PAID BY THE GUEST FOR THE ACCOMMODATION AT THE HOTEL. YOU AGREE THAT THE HOTEL AND ITS AFFILIATES INCLUDING, BUT NOT LIMITED TO, THEIR RESPECTIVE EMPLOYEES, AGENTS, PROPERTY MANAGERS, FRANCHISORS, SUPPLIERS AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF WAGES OR PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE GUEST’S USE OF THE SERVICES OR ANY CLAIMS ARISING THEREFORE.

8. Force Majeure

8.1 The Hotel is not liable for failure or delay in performing its obligations or any loss, damage or injury of any nature in whole or in part resulting from event beyond its reasonable control including, but not limited to, acts of God, natural disasters, fire, volcanic eruption, environmental pollution or contamination, earthquake, flood, explosion, water or power shortages or failures, inclement weather, storms or hurricanes, riots or civil commotions or disturbances and any other acts of similar nature, sabotage, arrests, strikes, boycotts, picketing, lockouts or other labour disruptions, inability or failure of a third party service provider to provide services and/or products, restraints of rulers or peoples, expropriations, acts of terrorism, public enemies, war, invasion, insurrection, national emergency, epidemics, pandemics, quarantine restrictions, government health advisories or warnings or alerts of any kind or nature, government seizures, any laws, rules, proclamations, regulations, orders, declarations, advisories, actions, interruptions or requirements of or interference by any government or governmental agency thereof, refusal or cancellation or suspension or delay of any government authority or any license, permit or authorization, damages to its facilities, any other unforeseen circumstances in any country in the world or any other cause or causes of any similar nature that impacts negatively on or hampers its ability to fulfill any of its contractual conditions (each an “Event of Force Majeure”). In the event of an Event of Force Majeure, the Hotel shall be excused, discharged or released from its performance to the extent such performance is so limited or prevented, without liability of any kind and the Hotel’s non-performance shall not be deemed a breach of this Agreement. In the event of Force Majeure, the Hotel may, at its sole discretion, extend its obligations for the duration of the delay without granting a full refund, or may cancel any affected Services with a full refund, or postpone or modify any Services without liability.

9. Termination

9.1 Immediate Termination. The Hotel may terminate a booking immediately if the Guest breaches these Terms, provides fraudulent or false information, engages in unlawful, disruptive, or inappropriate conduct, or otherwise endangers the safety of persons, property, or the reputation of the Hotel.

10. Privacy

10.1 Personal information will be collected, used and disclosed in accordance with the Hotel’s Privacy Policy and applicable data protection laws.

11. Dispute Resolution and Arbitration

11.1 Mandatory Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, any reservation, stay, or Services provided by the Hotel (“Dispute”) shall be resolved exclusively by final and binding arbitration administered under the ICC Rules of Arbitration (current edition) by the International Chamber of Commerce (“ICC”). ICC Rules are available at www.iccwbo.org. Arbitration shall be conducted before a single neutral arbitrator in the jurisdiction where the Hotel is located and in English. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Except for temporary, preliminary, or injunctive relief as provided in Section 11.5, arbitration must be fully exhausted before any court proceeding may be initiated. This Section applies to all Disputes, including claims arising under contract, tort, statute, or any other legal theory, and includes claims for personal injury, property damage, or economic loss or any equitable claim.

11.2 Waiver of Jury Trial. To the fullest extent permitted by law, both parties knowingly and voluntarily waive any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to a Dispute, including any court action for enforcement of an arbitration award.

11.3 Class and Collective Action Waiver. All Disputes shall be resolved on an individual basis only. The Guest and the Hotel waive any right to participate in a class, collective, consolidated, or representative action or proceeding. If a court finds the class action waiver unenforceable, the parties agree that arbitration shall continue on an individual basis to the maximum extent permitted by law.

11.4 Governing Law and Venue. These Terms and any Dispute shall be governed by and construed in accordance with the laws of the jurisdiction where the Hotel is located, without regard to conflict of law principles. Except as provided in Section 11.5, all Disputes must first be resolved through arbitration under Section 11.1. Any court action permitted only after arbitration has been fully completed, including enforcement of an ICC arbitration award or seeking provisional remedies, shall be brought exclusively in the courts located in the jurisdiction where the Hotel is situated. The parties consent to the exclusive jurisdiction and venue of such courts.

11.5 Injunctive or Equitable Relief. Nothing in this Section prevents either party from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction located where the Hotel is situated, where such relief is necessary to prevent imminent harm, protect property, or preserve legal rights pending arbitration. Any such relief is limited to temporary measures only and does not replace the requirement to arbitrate the underlying Dispute.

11.6 Severability. If any portion of this Section 11 is found unenforceable, the remaining portions shall remain in full force and effect. This includes arbitration of Disputes on an individual basis, even if the class action waiver is partially invalidated.

12. General Provisions

12.1 Entire Agreement. These Terms constitute the entire agreement between the Guest and the Hotel.

12.2 Amendments. The Hotel may amend these Terms at any time, with updated Terms applying to new bookings.

12.3 Severability. If any provisions of this Agreement shall be illegal or unenforceable under applicable law no other provisions of this Agreement shall be affected thereby, and all such provisions shall continue in full force and effect.

12.4 No Waiver. Any waiver by the Hotel of any provision or condition of these Terms shall not be construed as a waiver of any other provision, condition, or any subsequent breach of the same provision, unless expressly stated in writing and signed by the Hotel.

12.5 Assignment. The Guest may not assign or transfer any rights or obligations under these Terms without the prior written consent of the Hotel.
